General Terms and Conditions of Falstaff Deutschland GmbH in conjunction with Falstaff VIP Circle Austria

These GTC govern the contractual relationship between the member and Falstaff Deutschland GmbH. The version of the GTC valid at the time the contract is concluded shall apply. Deviating, conflicting or supplementary general terms and conditions shall not become part of the contract, even if they are known, unless Falstaff has expressly agreed to their validity in writing.

1) The Falstaff VIP Circle Germany (hereinafter referred to as the VIP Circle) is operated by Falstaff Deutschland GmbH, Cecilienallee 45, 40474 Düsseldorf, Germany, and is an exclusive club that offers its active members the following services:

  • Subscription to the Falstaff magazine, which is published 10 times a year*.
  • Several guides per year, e.g. Wine Guide Germany, Restaurant Guide Germany, Wine Bar and Cocktail Guide DACH
  • Participation in the events offered by the VIP Circle
  • Falstaff special issues: Special issues on various topics several times a year
  • Access to special wine tastings, gourmet events and tastings
  • Discounted tickets to exclusive Falstaff events such as tastings and dinners

* Delivery within Germany.

2) Membership in the Falstaff VIP Circle is not freely accessible and is by invitation only. Membership is free for the first 6 months. The member then has the option of extending the membership by using Miles & More miles. Without an extension, the free membership expires automatically. Miles & More is the inviting and participating marketing partner.

3) Membership comes into effect upon acceptance of the membership application by Falstaff Deutschland GmbH and ends automatically unless it is extended by the member (see point 2). Membership is only granted to natural persons with full legal capacity. Membership is not transferable.

4) By becoming a member, the member acquires only those rights vis-à-vis Falstaff Deutschland GmbH that are listed in point 1 of these GTC. In particular, the member does not acquire any rights of use or exploitation rights to the copyrighted works, trademarks and designs and other signs of Falstaff Deutschland GmbH or an affiliated company through membership. The member is therefore not authorized to use the protected identifiers of Falstaff Deutschland GmbH or affiliated companies without consent

5) Falstaff Deutschland GmbH reserves the right to terminate the membership in question at any time and with immediate effect without giving reasons. Declarations by Falstaff Deutschland GmbH are deemed to have been received if they are sent to the last address notified to Falstaff Deutschland GmbH.

6) The member is obliged to inform Falstaff Deutschland GmbH immediately in writing of any changes to his/her name and address details or other data required for membership. If the member does not notify Falstaff Deutschland GmbH of a change of address, written declarations shall be deemed to have been received by Falstaff Deutschland GmbH if they are sent to the last address notified to Falstaff Deutschland GmbH. This also applies to the delivery of the print products mentioned under 1.

7) Falstaff Deutschland GmbH reserves the right to amend these GTC at any time and without giving reasons. The member will be notified of any changes to the GTC. The new GTC shall enter into force after a period of 4 weeks and shall be deemed approved if the member does not object in writing within this period. This period begins on the day on which the member is first made aware of the new GTC. The current version of the GTC is available for download at www.falstaff.com. If a member objects to an amendment to the GTC, the old version of the GTC shall apply to this member until the date on which the membership expires.

8) Falstaff Deutschland GmbH excludes any liability for any non-performance or poor performance of the restaurants, wineries etc. published in the Falstaff Guides. This applies mutatis mutandis to all other products of Falstaff Deutschland GmbH or its affiliated companies as well as to the services in accordance with point 1 of these GTC. If the services are provided by cooperation partners of Falstaff Deutschland GmbH, Falstaff Deutschland GmbH only acts as an intermediary, i.e. the contractual partner of the member is the respective cooperation partner.

9) In order to be able to fulfill the services according to point 1 of these GTC, it is absolutely necessary to contact the members by e-mail, post and/or telephone. Among other things, contact is required for access to the permanent Internet restaurant ranking and for participation in the extensive gourmet events offered by the VIP Circle. 10) The contracting parties agree that all disputes arising from or in connection with the GTC shall be subject to the exclusive jurisdiction of the competent court in Germany. German law applies. If a provision of these GTC, a subsequent amendment or addition is invalid or becomes invalid, this shall not affect the validity and effectiveness of the remaining provisions of these GTC. In the event of ineffectiveness, invalidity or unenforceability, a provision which comes as close as possible to the economic result of this provision and which is not ineffective, invalid or unenforceable shall be deemed to have been agreed between the contracting parties. The specific economic interest of the contracting parties must be determined in particular from the void, ineffective or unlawful provision.

There are no verbal collateral agreements. Amendments to the contract must be made in writing. This also applies to any change to the written form requirement.
